The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 say that you have a 14 day right to change your mind and get a full refund on your digital content. You do not have this right to cancel once a download has started provided you have been told this and have acknowledged this.
The Consumer Rights Act 2015 says digital content must be as described, fit for purpose and of satisfactory quality.

This contract sets out:

In this contract:
‘We’, ‘us’ or ‘our’ means Shido Group Ltd; and ‘You’ or ‘your’ means the person downloading and/or purchasing a subscription to the SHIDO app from us.

1. Introduction
1.1 If you download the SHIDO app from us you agree to be legally bound by this contract.
1.2 You may only use the SHIDO app for non-business reasons.
1.3 This contract is only available in English. No other languages will apply to this contract.
1.4 When downloading the SHIDO app you also agree to be legally bound by: (a) these Terms and Conditions; (b) our Privacy Policy; and (c) any extra terms which may add to, or replace, some of this contract. This may happen for legal or regulatory reasons. We will contact you to let you know if we intend to do this by giving you one month’s notice. You can end this contract at any time by giving one month’s notice if we tell you extra terms apply.
1.5 All these documents form part of this contract as though set out in full here.
2. Information we give you
2.1 The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 require us to give you certain key information before a legally binding contract between you and us is made. If you want to see this key information, please: (a) click on the ‘key information’ button; (b) read the acknowledgement email (see clause 4.6); or (c) contact us using the contact details at the top of this page.
2.2 The key information we give you by law forms part of this contract (as though it is set out in full here).
2.3 If we have to change any key information once a legally binding contract between you and us is made, we can only do so if you agree to it.
3. Your privacy and personal information
3.1 Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our Privacy Policy, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information, and how to contact us and supervisory authorities if you have a query or complaint.

4. Purchasing a subscription to the SHIDO app
4.1 Below, we set out how a legally binding contract between you and us is made.
4.2 You may download a free and limited version of the SHIDO app from the Google Play Store or the Apple App Store. The free version of the SHIDO app will: (a) allow you to create a user account; (b) provide you with limited access to some of the content on the SHIDO app; and (c) provide you with an option to purchase a monthly subscription to unlock the premium content within the SHIDO app.
4.3 If you wish to purchase a monthly subscription, you may do so within the SHIDO app using Apple Pay or Google Pay. As a gesture of goodwill, and only upon your first purchase of a subscription, you will be provided with seven (7) days’ free access to the premium content (the free trial period).
4.4 Your first subscription payment will be charged on the expiry of the free trial period and you will thereafter be charged a monthly subscription payment. The payment date will fall on the monthly anniversary of your subscription purchase date.
4.5 Your subscription payment will be processed via your Google Play account or Apple App Store account. If you wish to amend or cancel your subscription, you must do so through your Google Play account or Apple App Store account.
4.6 We will only accept your purchase when we email you to confirm this (Confirmation Email). At this point: (a) a legally binding contract will be in place between you and us; and (b) the premium content within the SHIDO app will be available automatically.
4.7 We may contact you to say that we do not accept your purchase. This is typically for the following reasons: (a) the SHIDO app is unavailable; (b) you are not allowed to buy the subscription from us; (c) we are not allowed to sell the subscription to you; or (d) there has been a mistake on the pricing or description of the SHIDO app.
4.8 Prior to purchasing your subscription, you must check that the hardware and software requirements of your device are compatible with the SHIDO app. Please read these Terms and Conditions and our Privacy Policy carefully before completing your subscription purchase.
5. No right to cancel once downloading starts
5.1 When you purchase a subscription: (a) you have no right to cancel this contract as you will be provided with automatic access to the premium content; and (b) you must read the following statement, agree to it, and tick the relevant box when purchasing the subscription: “I hereby consent to immediate performance of this contract when clicking on the ‘pay now’ button and acknowledge that I will lose my right of withdrawal from the contract once the subscription begins.”
5.2 If you cancel your subscription during the free trial period, you will not be charged any subscription payment.
6. Permission to use the SHIDO app
6.1 When you download the SHIDO app (including any subscription purchased from us), you do not own it. Instead, we give you a personal, non-exclusive licence to use it in accordance with this contract.
6.2 The SHIDO app: (a) is personal to you and may be used worldwide only in compliance with applicable laws; (b) is non-exclusive and may be supplied to other users; (c) may not be: (i) copied except for a reasonable number of necessary back-ups; (ii) changed, adapted, reverse-engineered, decompiled or used to extract source code except where permitted by law; (iii) combined or merged with any other computer program; or (iv) distributed or sold to any third party.
6.3 The SHIDO app includes a guide in the help section. Please read this carefully.
6.4 The SHIDO app contains information owned by us or third parties. You must not conceal, change or remove any ownership markings such as copyright (©), registered trade mark (®) or trade mark (™) notices.
6.5 You will not obtain any ownership or other proprietary rights in the SHIDO app.
7. Download
7.1 The SHIDO app can be downloaded from the Google Play Store or the Apple App Store.
7.2 If something happens which: (a) is outside our control; and (b) affects your ability to download the SHIDO app,
we will make it available as soon as reasonably possible.
8. Nature of the SHIDO app
8.1 The Consumer Rights Act 2015 gives you statutory rights, including that the SHIDO app: (a) is of satisfactory quality; (b) is fit for purpose; and (c) matches its description.
8.2 We must provide digital content that complies with your legal rights.
8.3 We will use reasonable efforts to ensure the SHIDO app is free from defects, viruses and malicious content, but we do not guarantee compatibility with third-party software unless stated.
9. Faulty digital content
9.1 Nothing in this contract affects your statutory rights.
9.2 For more information about your rights, please contact us or visit www.citizensadvice.org.uk.
9.3 To avoid faults, you must install updates when reasonably required and use the SHIDO app only on recommended systems.
10. Compliance with laws and anti-bribery
10.1 You must comply with all applicable laws when using the SHIDO app.
10.2 We operate a zero-tolerance approach to bribery and corruption.
10.3 In accordance with the UK Bribery Act 2010 and other applicable anti-corruption laws, you must not: (a) offer, promise, give, request or accept any bribe, facilitation payment, kickback or improper advantage in connection with the SHIDO app; (b) engage in conduct that would constitute an offence under anti-corruption laws; or (c) cause us to breach any such laws.
10.4 We may suspend or terminate your access immediately if we reasonably believe this clause has been breached.
11. Modern Slavery and Human Trafficking
11.1 We are committed to preventing modern slavery and human trafficking in our business and supply chains and support the objectives of the Modern Slavery Act 2015.
11.2 We seek to act ethically and with integrity in all business relationships and to implement reasonable systems and controls to reduce the risk of modern slavery within our organisation.
11.3 You must not use the SHIDO app in any way that involves, promotes or facilitates unlawful exploitation, forced labour, human trafficking or slavery.
11.4 If we reasonably believe that the SHIDO app is being used in connection with any activity involving modern slavery or human trafficking, we may suspend or terminate your access immediately.
12. Equity, Diversity and Inclusion
12.1 We are committed to promoting equity, diversity and inclusion and to complying with the Equality Act 2010 and other applicable anti-discrimination laws.
12.2 We aim to provide an environment that is respectful, inclusive and free from unlawful discrimination, harassment or victimisation.
12.3 You must not use the SHIDO app to engage in unlawful discrimination, harassment, hateful conduct or abusive behaviour based on protected characteristics including age, disability, gender reassignment, marriage and civil partnership, pregnancy and maternity, race, religion or belief, sex, or sexual orientation.
12.4 We may suspend or terminate your access to the SHIDO app if you breach this clause.
13. End of the contract
If this contract is ended, it will not affect our right to receive any money owed to us.
14. Limit on our responsibility to you
14.1 Except for liability that cannot legally be excluded (including death or personal injury caused by negligence or breaches of data protection law), we are not responsible for: (a) losses not foreseeable at the time the contract was formed; (b) losses not caused by our breach; (c) business losses; or (d) losses suffered by non-consumers.
15. Disputes
15.1 We will try to resolve disputes quickly and efficiently.
15.2 If you wish to take court proceedings, the courts of the part of the United Kingdom in which you live will have non-exclusive jurisdiction.
15.3 The laws of England and Wales apply to this contract.
16. Third party rights
No one other than a party to this contract has any right to enforce any term of this contract.
17. Severance
If any provision is found unlawful, the remaining provisions will remain in force.
18. Waiver
If we delay enforcing our rights under this contract, that does not mean we waive those rights.
